Terms of Service

1.Introduction

These Terms of Service (the "Terms") govern the relationship between AmityAge ("AmityAge", "we", "us", or the "Company") and any person who visits amityage.com, orders, or uses any AmityAge service (the "Client" or "You").

By using the website, ordering a product or service, registering for AmityAge Club, enrolling in the Bitcoin Educators Academy (BEA), or otherwise confirming your agreement, you accept these Terms in full. If you do not agree, please do not use our Services.

AmityAge LLC, Prospera, St. John's Bay, Honduras. AmityAge's operational hub is in Próspera, Roatán, Honduras.

2.Definitions

"Services" means all products and services offered by AmityAge, in particular: (a) education services (Bitcoin Educators Academy, Bitcoin Diploma, private consultations, AmityAge Club/Patreon); (b) mining services (miner sales, hosting); (c) financial services (Virgin Coins Brokerage, Bitcoin-Backed Loans Brokerage, OTC exchange, Nomad Layer tax residency referrals).

"Partner" means a third party that AmityAge works with to deliver certain Services.

"Annex" means a standalone section of these Terms governing a specific category of Services: Annex A – Mining and Hosting, Annex B – Financial Services, Annex C – Education and Community.

3.Overview of Services

AmityAge operates across three pillars: education, mining, and Bitcoin-based financial services. This general section applies to all Services. Additional terms specific to each category are set out in Annexes A, B, and C. Where this general section conflicts with the relevant Annex, the Annex prevails for that category of Service.

4.Eligibility and Registration

AmityAge's Services are intended for individuals aged 18 or older with full legal capacity. By registering or ordering a Service, you represent that you meet this requirement and that the information you provide is true and complete. You are responsible for keeping your account credentials confidential and for all activity under your account.

5.Payment Terms

Prices for Services are listed on the website or in an individual quote and are payable in advance unless otherwise agreed. We accept payment in USD, EUR, or Bitcoin (BTC/sats) at the applicable rate at the time of payment. If paying in Bitcoin, the Client bears the exchange-rate risk between the time a quote is issued and the time payment is received. We price transparently and without hidden fees — that is one of our core values.

6.Bitcoin Risk

The value of Bitcoin is volatile and can fluctuate significantly over short periods. AmityAge does not provide investment, financial, tax, or legal advice, and does not guarantee any specific return, profit, or preservation of value. Any decision to buy, sell, mine, store, or use Bitcoin as loan collateral is made by the Client at their own risk.

7.Intellectual Property

All AmityAge content — text, courses, presentations, videos, the AmityAge brand, logo, the Amity Nakamoto character, and related materials — is protected by copyright and other intellectual property rights and belongs to AmityAge or its licensors. The Client may not copy, distribute, modify, or commercially exploit this content without AmityAge's prior written consent, except for personal use to the extent necessary to receive the purchased Service.

8.Client Conduct

The Client agrees to use the Services in compliance with applicable law, to refrain from damaging AmityAge's reputation, to not misuse our platforms (Patreon, webinars, community events), and to respect other participants and instructors. AmityAge reserves the right to refuse or terminate access to the Services in the event of a breach of these Terms.

9.Third-Party Services

Certain AmityAge Services are delivered together with Partners. Unless stated otherwise in Annex B, AmityAge acts as an intermediary/referrer in these cases, not as the direct provider of the underlying financial service. Details are set out in Annex B.

10.Disclaimer of Warranties

The Services are provided "as is", without warranties of any kind except those that cannot be excluded under applicable law. AmityAge does not guarantee uninterrupted, error-free, or fully secure availability of the website or of third-party platforms (e.g. Patreon, Airmeet).

11.Limitation of Liability

To the maximum extent permitted by law, AmityAge is not liable for indirect, consequential, or incidental damages, or for loss of profit, data, or Bitcoin value arising from use of the Services. AmityAge's total liability to the Client for any claim is limited to the amount the Client actually paid for the specific Service giving rise to the claim during the preceding 12 months.

12.Indemnification

The Client agrees to indemnify AmityAge for damages arising from the Client's breach of these Terms or of applicable law.

13.Term and Termination

These Terms remain in effect for as long as the Services are used. AmityAge may terminate a Service or a Client's access in the event of a material breach of these Terms, suspected fraud or unlawful conduct, or for reasons set out in the relevant Annex.

14.Governing Law and Dispute Resolution

These Terms are governed by the laws of the Próspera ZEDE jurisdiction, Honduras. The parties will first attempt to resolve disputes amicably; failing agreement, the dispute will be submitted to the competent court or arbitral body under the governing law.

Where the Client is a consumer, nothing in this Section limits any mandatory consumer-protection rights the Client may have under the law of their country of residence that cannot be excluded or limited by contract.

15.Force Majeure

AmityAge is not liable for failure to perform its obligations due to circumstances beyond its reasonable control (force majeure), including customs delays, natural disasters, power outages, government action, or other events beyond AmityAge's reasonable control — including delays in the import of hardware (e.g. mining equipment) in transit or destination countries.

16.Changes to These Terms

AmityAge may update these Terms at any time. The current version is always available at amityage.com. Continued use of the Services after changes are published constitutes acceptance of the new Terms.

17.Severability

If any provision of these Terms is held invalid or unenforceable, the remaining provisions remain in full force and effect.

A.1 Scope

This Annex governs the sale of mining hardware ("miners"), hosting services and related services provided by AmityAge.

A.2 Orders and Payment

A miner order becomes binding upon written confirmation and payment of a deposit or the full amount under the agreed payment terms. Prices include AmityAge's margin and exclude customs duties, freight, and hosting fees unless otherwise agreed.

A.3 Delivery and Customs Risk

Delivery timelines are estimates. AmityAge uses reasonable efforts to secure importation but is not liable for delays caused by customs clearance, import permits, or changes in import regulation in the destination country (as we are currently experiencing with shipments to Ethiopia). Title to hardware passes to the Client upon payment of the full purchase price; risk of loss passes to the Client upon physical delivery, or, where the equipment is placed directly at an AmityAge hosting site, upon AmityAge taking custody of the equipment on the Client's behalf.

A.4 Hosting

After purchasing a miner, the Client may place the equipment at an AmityAge Partner hosting site. Hosting includes power, cooling, network connectivity, and basic physical management of the equipment. AmityAge does not guarantee any specific mining yield, hashrate, or profitability — these depend on network difficulty, the Bitcoin price, electricity cost, and the technical condition of the equipment. Hosting fees are payable monthly in advance per the current price list; larger clients may agree individual terms directly with AmityAge, including installation fees.

A.5 Maintenance and Warranty

Equipment is covered only by the manufacturer's warranty, which AmityAge facilitates on the Client's behalf but does not itself provide. AmityAge is not liable for failures caused by normal wear and tear, improper operation, power outages, or third-party interference.

A.6 Termination of Hosting

Upon termination of a hosting arrangement, the Client must arrange collection of their equipment within a reasonable period. AmityAge may charge a storage fee thereafter or, as a last resort and after prior notice, commercially dispose of or sell the equipment to cover amounts owed.

A.7 Mining Site

For mining site sourcing and brokerage services, AmityAge acts as an intermediary between the investor, the operator, and clients; the terms of a specific transaction are set out in a separate agreement.

B.1 Scope and AmityAge's Role

AmityAge provides brokerage/referral services related to Bitcoin: Virgin Coins Brokerage, Bitcoin-Backed Loans Brokerage, and OTC Bitcoin/fiat exchange. Unless stated otherwise, AmityAge is not a bank, lender, exchange, or licensed financial institution — it acts as an intermediary, and the actual loan, exchange, or Bitcoin transfer is provided by the relevant Partner.

B.2 Virgin Coins Brokerage

AmityAge brokers the purchase of freshly mined Bitcoin with no prior transaction history, exclusively as a Bitcoin-to-Bitcoin transaction (no fiat involved), at a premium to the spot price. The exact premium and terms are agreed individually before each transaction. AmityAge does not guarantee any specific provenance, "cleanliness", or legal classification of the coins beyond the information provided by the Partner.

B.3 Bitcoin-Backed Loans Brokerage

AmityAge facilitates contact between the Client and a Bitcoin-backed loan provider. The loan agreement itself, the KYC/AML process, interest rate, LTV, and repayment terms are determined solely by the Partner. AmityAge does not guarantee loan approval, its terms, or outcome, and is not liable for the Partner's performance. Minimum loan size and fees are governed by the relevant Partner's current terms.

B.4 OTC Exchange

For OTC transactions (fiat ↔ Bitcoin), AmityAge charges a brokerage fee. The Client is solely responsible for complying with tax and foreign-exchange regulations applicable in their jurisdiction. AmityAge may require identification and KYC information before executing a transaction.

B.5 Risk and No Advice

No information provided in connection with the Financial Services constitutes investment, legal, or tax advice. Bitcoin transactions are irreversible. The Client confirms they understand Bitcoin's volatility and the risks of using cryptocurrency as loan collateral, including the risk of a margin call if the collateral's value declines.

B.6 Fees and AmityAge Compensation

AmityAge may receive compensation (commission) from a Partner for referrals — for example, a share of the origination fee on loans or a share of the premium on Virgin Coins. This compensation does not increase the price to the Client beyond what is stated in the specific quote, unless expressly agreed otherwise.

B.7 Liability

AmityAge is not liable for damage arising from a Partner's act or omission. AmityAge's liability under this category of Services is limited to the amount of the brokerage fee received from the Client in the relevant transaction.

C.1 Scope

This Annex governs the Bitcoin Educators Academy (BEA), Bitcoin Diploma, private consultations, AmityAge Club (Patreon), and related educational content.

C.2 Enrollment and Fees

Enrollment in BEA or another paid education service becomes binding upon payment of the fee. Current prices are listed on the website or in a quote. Each BEA track has a minimum and maximum number of participants, as published for the relevant session; AmityAge reserves the right to cancel or reschedule a track with insufficient enrollment, with a refund or an alternative date at the Client's choice.

C.3 Cancellation and Refunds

The Client may cancel BEA attendance no later than [X] days before the track starts and receive a refund of [X]% of the fee; later cancellations are non-refundable, except for demonstrable medical or other serious reasons assessed individually. AmityAge will state exact deadlines in the specific quote or order confirmation.

C.4 Course Content and Intellectual Property

All materials, presentations, exercises, and methodology used in BEA, Bitcoin Diploma, and consultations remain AmityAge's intellectual property. Participants may use them for personal educational purposes and in their own work as educators, but not for commercial reproduction, resale, or creating derivative courses without AmityAge's written consent.

C.5 No Outcome Guarantee

AmityAge provides education and tools to improve Bitcoin communication but does not guarantee any specific business, income, or other outcome for a participant after completing a course.

C.6 AmityAge Club / Patreon

AmityAge Club is a subscription community hosted on Patreon, with Free, Basic, Plus, Pro, and Elite tiers. Payment is processed directly through Patreon under its terms and billing cycle; AmityAge is not responsible for the technical availability of the Patreon platform. Subscriptions may be cancelled at any time directly in Patreon; amounts already paid for the current period are non-refundable unless Patreon or AmityAge states otherwise. A portion of Plus-tier subscriptions is directed to AmityAge's own mining pool; any block reward is shared among Plus/Pro/Elite subscribers under the rules published in the community at the time.

C.7 Private Consultations

Private consultations (self-custody, inheritance planning, multisig, and similar) constitute educational and technical guidance, not financial, tax, or legal advice. The Client is solely responsible for decisions made based on a consultation, particularly when setting up custody of their own private keys. AmityAge has no access to the Client's private keys and is not liable for their loss.

C.8 In-Person Attendance and Safety

For in-person events (BEA, Bitcoin Games Roatán, Bitcoin Center Roatán), participants must follow the organizer's rules and are responsible for their own travel insurance, visas, and health arrangements related to travel and attendance.
